These Terms of Service govern your access to and use of the Cerbi website and CerbiShield software. By accessing or using our services, you agree to be bound by these terms.

This document covers acceptable use of the website, software licensing terms, customer responsibilities, restrictions on use, privacy practices, disclaimers, and other legal provisions that apply to your relationship with Cerbi.

If you do not agree to these terms, you may not access or use the Cerbi website or CerbiShield software.

Cerbi: Refers to the company and brand providing the CerbiShield software and related services.

CerbiShield: The authorization platform software provided by Cerbi, including all features, updates, and documentation.

Customer: Any individual or organization that accesses the Cerbi website, uses CerbiShield software, or enters into a subscription or licensing agreement with Cerbi.

Services: All products, software, features, support, and resources provided by Cerbi, including but not limited to CerbiShield and the Cerbi website.

Website: The Cerbi website located at cerbi.io and any related subdomains or services accessible through it.

You may access and use the Cerbi website for lawful purposes related to evaluating or using CerbiShield software. You agree not to abuse, disrupt, or interfere with the website or its infrastructure.

You may not use automated systems or software to scrape, extract, or collect data from the website without prior written permission. You may not attempt to reverse engineer, decompile, or disassemble any aspect of the website or its underlying technology.

We reserve the right to suspend or terminate your access to the website at any time for violation of these terms or for any other reason at our sole discretion.

CerbiShield is licensed software, not sold. Your rights to use CerbiShield are determined by the license granted to you under your subscription plan or order form.

These Terms of Service may be supplemented by additional terms in your order form, subscription agreement, or plan documentation. In the event of a conflict, the terms in your specific agreement will take precedence over these general terms.

Specific pricing, subscription tiers, and licensing details are provided separately and are not part of this general terms document.

You are responsible for configuring and managing your CerbiShield tenant, including access control policies, user permissions, and authorization rules.

You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You agree to notify Cerbi immediately of any unauthorized access or security breach.

You are solely responsible for ensuring that your use of CerbiShield complies with applicable laws, regulations, and industry standards. Cerbi does not provide legal or compliance advice, and you should consult with qualified professionals regarding your specific compliance requirements.

You may not use CerbiShield or the Cerbi website for any unlawful purpose or in any way that violates these terms. You may not use the services to harm others or to engage in fraudulent activity.

You may not attempt to bypass, disable, or interfere with license enforcement mechanisms or security features in CerbiShield. You may not remove or obscure any proprietary notices or labels.

You may not redistribute, sublicense, rent, lease, or transfer CerbiShield or your access rights to any third party except as explicitly permitted in your license agreement.

CerbiShield and the Cerbi website are provided on an "as available" basis. We strive to maintain high availability, but we do not guarantee uninterrupted access. Scheduled and unscheduled downtime may occur for maintenance, updates, or other operational reasons.

We may modify, update, or discontinue features of CerbiShield or the website at any time. We will make reasonable efforts to communicate significant changes in advance, but we are not obligated to do so.

Feature updates, improvements, and changes to the user interface or functionality may be released without prior notice. Continued use of the services constitutes acceptance of such changes.

Your use of CerbiShield and the Cerbi website is governed by our Privacy Policy, which describes how we collect, use, and protect your data.

CerbiShield may integrate with third party services and platforms. Your use of such integrations may be subject to additional terms and conditions imposed by those third parties.

You are responsible for reviewing and agreeing to the terms of service and privacy policies of any third party services you use in connection with CerbiShield.

CerbiShield and the Cerbi website are provided "as is" and "as available" without warranties of any kind, either express or implied.

We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the services will be uninterrupted, error-free, or secure.

You assume all risk associated with your use of CerbiShield and the Cerbi website. We do not guarantee that the services will meet your requirements or expectations.

To the fullest extent permitted by law, Cerbi shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of CerbiShield or the Cerbi website.

In no event shall our total liability to you for all claims exceed the amount you paid to Cerbi in the twelve months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless Cerbi and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of your use of CerbiShield or the Cerbi website.

This includes claims arising from your violation of these terms, your violation of any law or regulation, or your infringement of any third party rights.

Cerbi reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

These terms remain in effect until terminated by either party. You may terminate your use of CerbiShield and the Cerbi website at any time by discontinuing access and canceling your subscription.

We may suspend or terminate your access to CerbiShield or the website immediately if you breach these terms, engage in unlawful conduct, or for any other reason at our sole discretion.

Upon termination, your right to use CerbiShield and access the Cerbi website will cease immediately. Provisions of these terms that by their nature should survive termination will remain in effect, including disclaimers, limitations of liability, and indemnification obligations.

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Florida, USA, without regard to its conflict of law provisions. (Placeholder jurisdiction)

Any disputes arising under these terms shall be resolved in the courts located in the State of Florida, and you consent to the exclusive jurisdiction of such courts.
